1. COURSE OBJECTIVES
This course will teach the fundamental theories and practice of corporate governance. This course covers the history of the corporation, boards of directors, the division of profit sharing and various forms of employee ownership and equity ownership among insiders, regulation, shareholder activism, the impact of takeovers and mergers and acquisitions on governance, ethical issues such as conflicts of interest and insider trading, international corporate governance, and policy developments likely to impact the corporation.

Corporate Governance Assessment Project The instructor will distribute a corporate governance rating survey instrument (CG Rating Survey) to all students at the beginning of the session. The survey instrument was prepared by the instructor for the purpose of corporate governance rating of listed companies and it is currently in use in a number of locations. Each student will be assigned (by the instructor) one publicly traded company at the beginning of the session. This is the company the student will analyze and assess the corporate governance compliance and identify any weaknesses. The student will conduct research on recent corporate governance related articles about the company you have been assigned. |
